Authorized Reseller Brand Protection Policy

NATURE’S STANCE INC. (“BRAND”) hereby adopts this Reseller Brand Protection Policy (“Policy”) in order to protect its trademarks, service marks, certification marks, logos, and copyrighted material and prevent consumer confusion. BRAND requires that each authorized person or entity (a “Reseller”) that purchases BRAND products (the “Products”) for resale or other distribution agree to comply with this Policy and be approved prior to reselling any BRAND products online.

Any unauthorized or improper use of BRAND’s trademarks may constitute infringement and unfair competition in violation of federal, state, and international laws. If you are an authorized BRAND Reseller, please consult your BRAND agreement for any additional requirements applicable to your use of BRAND’s trademarks.

1. Trademark Guidelines

Reseller may not include any BRAND trademark in its company name, product name, service name, or domain name.
Unless Reseller is expressly licensed by BRAND under a written licensing agreement, Reseller may not use BRAND logos.
Reseller’s company or product name may not be confusingly similar to any BRAND trademark, and Reseller may not use BRAND trademarks in any manner that directly or indirectly implies BRAND sponsorship, affiliation, certification, approval, or endorsement.
Reseller may not shorten, abbreviate, alter, or modify any BRAND trademark.
When permitted, Reseller must include the following trademark attribution statement: “Nature’s Stance”, “Nature’s Stance Inc”, and associated slogans are trademarks of BRAND.”
Reseller shall sell Products only in their original packaging and may not remove, obscure, or modify any labels, specifications, images, advertising, or other product-related content.

2. Marketplaces

Reseller may not advertise or sell Products on any third-party online marketplace, or to any distributors or resellers for further sale on such marketplaces, without prior written consent from BRAND.

3. Approved Online Marketplaces

Reseller may advertise or sell Products only on third-party online marketplaces expressly listed in Addendum 1 to this agreement.

4. Brand Usage

Resellers may use the BRAND name only in a factual manner, such as: “We sell Nature’s Stance products,” provided the statement is true. Reseller must lead with its own company brand and may not lead with the BRAND name. Reseller may not present itself in any manner that suggests an affiliation or relationship with BRAND beyond authorized resale.

5. Compliance

Reseller must comply with BRAND’s Minimum Advertised Pricing (MAP) Policy.

Reseller must store, handle, and ship Products in compliance with BRAND’s storage, freshness, and handling requirements.

Reseller must comply with BRAND’s warranty and customer support policies and may not modify, replace, or misrepresent BRAND warranties.

Unfair business practices, false advertising, or fraudulent conduct are strictly prohibited.

6. Copyrights

Use of BRAND’s copyrighted materials is strictly prohibited without prior written approval. This includes, but is not limited to, website content, mobile applications, documentation, photographs, videos, images, graphics, diagrams, and sound clips. Authorized use must include BRAND’s copyright notice.

7. Written Consent Requirement

Reseller may not advertise or sell Products on any third-party online marketplace without BRAND’s express written consent. Any resale without such consent is unauthorized.

8. Product Quality, Safety, and Packaging Control

All Products manufactured and distributed by Nature’s Stance are subject to strict quality control, safety, freshness, and packaging standards.

Unauthorized resellers are not permitted to advertise, sell, store, or ship Products, as they cannot certify compliance with these requirements.

Products sold outside the authorized distribution network are deemed materially different due to unknown storage, handling, and quality conditions.

9. Material Difference

Products sold by unauthorized resellers may differ in:

Quality control
Product condition
Expiration management
Packaging standards
Customer support
Warranty eligibility

These differences constitute a “material difference” under U.S. trademark law and remove protection under the First Sale Doctrine.

10. No Warranty / No Guarantee

Nature’s Stance provides no warranties, guarantees, refunds, or customer support for Products purchased from unauthorized sellers.

This absence of warranty constitutes a material difference and further supports trademark enforcement.

11. Amazon Brand Registry & Transparency Notice

Nature’s Stance participates in Amazon Brand Registry, Amazon Transparency, and related brand-protection programs.

Unauthorized sellers may be subject to enforcement or removal under Amazon’s internal policies, independent of the First Sale Doctrine.

12. Prohibition of Online Marketplace Sales

Authorized resellers are strictly prohibited from selling Nature’s Stance Products on Amazon, Walmart.com, eBay, or any online marketplace unless expressly approved in writing.

Any unapproved listing is considered unauthorized and subject to removal through brand-protection channels.

13. MAP Enforcement

Unauthorized sellers may not advertise or sell Nature’s Stance Products below the published MAP.

MAP violations constitute unauthorized resale and trigger immediate enforcement.

14. Cease & Desist Enforcement

Nature’s Stance reserves the right to pursue all available remedies against unauthorized sellers, including but not limited to:

Amazon Brand Registry complaints
Trademark infringement reporting
Issuing cease and desist notices
Pursuing civil remedies as permitted by law

Marketplace enforcement actions are governed solely by the policies of the respective platforms.

15. Affirmation of No Liability

Nature’s Stance assumes no responsibility or liability for enforcement actions taken by Amazon or any third-party marketplace.

Reporting unauthorized listings is performed solely to protect consumers, product integrity, and trademark rights.

16. Acknowledgement of Policy

By offering any Nature’s Stance Product for sale, the reseller acknowledges and agrees to this Authorized Reseller Policy. Unauthorized resale constitutes acceptance of all enforcement rights outlined herein.
